About Caribucate

These Terms and Conditions ("Terms") govern access to and use of the Caribucate website, platform, software, services, and related features (collectively, the "Services") provided by Ctrl Shift Digitize Limited ("Caribucate", "we", "us", or "our").

Caribucate is a Student Information System and Learning Management System for schools. It supports administration, student records, registration, attendance, RFID-supported identity workflows, teaching and learning, assignments, assessments, grades, reporting, communication, AI-assisted teacher documents, and selected school operations.

By accessing or using Caribucate, you agree to these Terms. If you act for a school or organisation, you represent that you are authorised to accept them. Specific features depend on the school's subscription, configuration, enabled modules, implementation scope, data readiness, and written agreement.

Users and accounts

Caribucate may be used only by authorised school administrators, teachers, staff, students, parents, guardians, and other approved users.

• Provide accurate account information and use only the account assigned to you.
• Keep credentials confidential and do not permit unauthorised access.
• Notify the school or Caribucate promptly if account misuse is suspected.
• Follow applicable law, school policy, and role-based access restrictions.
• Schools decide who may access Caribucate, assign and review roles, remove access when no longer needed, and ensure users are trained and authorised.

School responsibility for data

Schools are responsible for information they enter, upload, import, configure, approve, publish, export, or share through Caribucate. Caribucate is not responsible for errors, omissions, unauthorised access, or misuse caused by incorrect school data, permission setup, user management, exported files, or failure to follow appropriate procedures.

• The school must have the authority, permission, consent, or lawful basis required to use the Services.
• Records must be accurate to the extent required for school operations.
• Sensitive information should be entered only where appropriate.
• Uploaded documents must be lawful and suitable for the platform.
• Required notices must be provided to parents, guardians, students, and staff.
• Permissions must match each user's role and need to know.

Acceptable use

You must not use Caribucate to:

• Violate law, school policy, contract, confidentiality, privacy, intellectual-property, or another person's rights.
• Access, change, export, disclose, scrape, harvest, or bulk-download records without authorisation.
• Harass, threaten, abuse, defame, impersonate, discriminate against, or harm another person.
• Upload unlawful, explicit, harmful, malicious, deceptive, or infringing content.
• Bypass security, authentication, permissions, rate limits, or access controls.
• Introduce malware or interfere with the security, performance, reliability, or integrity of the Services.
• Reverse engineer, copy, resell, sublicense, or commercially exploit the Services except where expressly permitted.
• Use student information for advertising, unrelated profiling, or another unrelated commercial purpose.

Subscriptions, pricing, and payment

Public website pricing is a starting point and does not replace a written quotation, order form, invoice, or service agreement. Unless otherwise agreed in writing, the official website base price is US$18 per active student annually.

Teacher and administrator accounts, up to three parent accounts per active student, and AI lesson-planning assistance are included in the core starting price. The optional RFID package starts at an additional US$3 per active student annually and includes a single-sided printed ID card and card design.

For illustration, 2,000 active students at US$18 equals US$36,000 annually for the core platform. At US$21 per student for core plus RFID, the illustrative annual total is US$42,000.

TTD amounts displayed on the website are indicative conversions based on a reference exchange rate and may change. A bank, card provider, written quotation, or invoice may use a different rate. The final written quotation, order form, invoice, or service agreement is authoritative.

Implementation, data preparation, migration, integrations, specialised workflows, training, support requirements, hardware, card-printing logistics, launch arrangements, pilots, multi-school deployments, taxes, and institution-specific needs may be quoted separately.

The signed school agreement controls invoicing, payment schedule, renewal, cancellation, suspension, and refund rules. These website Terms do not create an automatic late-payment penalty.

Demonstrations and quotations

Website information, demonstrations, product previews, fictional scenarios, and sample workflows are provided for evaluation and discussion. They do not promise that every feature, configuration, report, integration, or workflow will be available exactly as shown for every school.

A written quotation or service agreement controls final scope, pricing, implementation schedule, enabled modules, deliverables, service levels, and support terms.

Implementation and school cooperation

Successful implementation may require the school to:

• Provide accurate student, staff, guardian, subject, class, timetable, and operational data.
• Review templates, imports, mappings, configurations, roles, and permissions.
• Assign an implementation lead and make appropriate staff available.
• Train users, communicate procedures, and test workflows before launch.
• Confirm policies for attendance, grading, communication, parent access, RFID, ID cards, transport, library, cafeteria, and other enabled modules.
• Approve project decisions and changes within agreed timelines.

Student, parent, guardian, and staff records

Caribucate supports school-record workflows, but the school remains responsible for official academic, attendance, promotion, disciplinary, reporting, communication, employment, and operational decisions.

Users must verify important information before official action. Reports, dashboards, alerts, and action queues depend on the completeness, accuracy, timing, and configuration of school data.

Attendance, RFID, ID cards, and devices

RFID, scan, attendance, and device features may depend on hardware availability, configuration, network connectivity, card quality, device health, and proper user procedures. Caribucate does not guarantee that scans or device records will be complete or uninterrupted in all conditions.

Schools must maintain appropriate backup procedures for attendance, emergency, safety, and compliance needs. Schools must review and approve ID-card data and designs before printing or distribution.

LMS, assignments, assessments, and grades

Teachers and schools remain responsible for professional academic judgment and school governance, including:

• Reviewing course materials before publication.
• Confirming assignment, assessment, due-date, and availability settings.
• Reviewing submissions, scores, calculations, rubrics, feedback, corrections, and report outputs.
• Handling academic integrity, grading disputes, accommodations, student welfare, and school-policy decisions.

AI Teacher Docs

AI Teacher Docs may generate lesson plans, schemes of work, rubrics, worksheets, suggestions, and other draft teaching materials. Output is an aid, not a final professional judgment. It may be incomplete, inaccurate, biased, outdated, or unsuitable for a student, class, curriculum, or school policy.

Teachers or authorised school staff must review, edit, and approve AI output before use. Users must not enter unnecessary sensitive personal information in AI prompts. Schools decide whether and how their staff may use AI features.

Communication features

Caribucate may support announcements, messages, notifications, email campaigns, read receipts, course announcements, and parent or guardian communication. Schools and users must choose the correct audience, review messages before sending, and ensure communications are accurate, lawful, respectful, and appropriate.

Caribucate is not an emergency communication system. Schools must maintain separate emergency, safeguarding, and escalation procedures.

Cafeteria, library, transport, and operational modules

Operational modules may support cafeteria wallets and point-of-sale records, library loans and fines, transport routes and requests, awards, certificates, forms, calendars, clubs, and related workflows.

Schools must verify transactions, balances, adjustments, reversals, fines, routes, pickups, and other records; establish approval and reconciliation procedures; handle disputes; and meet applicable financial, accounting, transport, safety, safeguarding, and school-policy duties.

Caribucate is not a bank, payment processor, transport operator, or library authority. It supplies software for school-managed workflows.

Intellectual property

Caribucate's software, design, code, workflows, documentation, branding, logos, and related materials are owned by Ctrl Shift Digitize Limited or its licensors.

Subject to these Terms and the applicable school agreement, authorised users receive a limited, non-exclusive, non-transferable right to use Caribucate for the school's internal educational and administrative purposes.

Schools and users retain rights in their own data, records, documents, and content, subject to the rights Caribucate needs to provide, secure, support, and maintain the Services.

User content

Users may upload or create documents, messages, announcements, files, grades, comments, assignments, submissions, and teaching materials. Users represent that they have the right to submit that content and that it complies with law, school policy, confidentiality, intellectual-property rights, privacy rights, and these Terms.

Caribucate may preserve, restrict, remove, or disclose content when required or permitted by law, contract, safety, security, or these Terms.

Privacy

Use of Caribucate is also governed by the Caribucate Privacy Policy, the applicable school data agreement, and any institution-specific notices. Caribucate remains responsible for its own obligations under applicable privacy law; these Terms do not transfer Caribucate's legal duties to a school.

Where these Terms conflict with a signed school agreement, the signed school agreement controls to the extent of the conflict.

Third-party services

Caribucate may interact with or link to services such as WhatsApp, email, cloud hosting, analytics, AI providers, payment-related tools, or other integrations. Independent third-party terms and privacy policies govern those services. Caribucate is not responsible for an independent third-party service unless a written agreement expressly states otherwise.

Availability, maintenance, and changes

We aim to keep Caribucate reliable and available, but do not guarantee uninterrupted or error-free service. Maintenance, updates, network or hosting problems, school infrastructure, hardware, security events, force majeure, or other circumstances may affect availability.

We may add, change, suspend, or discontinue features. Where a change materially affects subscribed Services, we will take reasonable steps to communicate with the school, subject to the applicable agreement.

Support

Support scope, hours, channels, response targets, and exclusions may be described in a quotation, service agreement, or support policy. Support may require access to relevant logs, configuration, records, screenshots, user reports, or sample data. Schools should avoid sending unnecessary sensitive information in support requests.

Confidentiality

Each party may receive confidential information, including school records, student information, business information, pricing, credentials, product plans, technical details, and non-public documentation.

Each party will use reasonable care to protect confidential information and use it only to provide or use Caribucate, unless disclosure is authorised in writing or required by law.

Disclaimers

To the maximum extent permitted by law, the Services are provided on an “as is” and “as available” basis except where a written agreement expressly states otherwise.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure; that school-entered data will be accurate or complete; that every issue will be identified by a report, dashboard, alert, or AI output; that every school requirement will be met unless agreed in writing; or that third-party services will remain available or unchanged.

Nothing in these Terms excludes a warranty or right that applicable law does not permit the parties to exclude.

Limitation of liability

To the maximum extent permitted by law, Caribucate and Ctrl Shift Digitize Limited will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profit, revenue, data, business opportunity, goodwill, or reputation.

To the maximum extent permitted by law, total liability for claims arising from the Services will not exceed the amount paid by the school for the Services giving rise to the claim during the twelve months before the event, unless a signed agreement provides a different limit.

Some laws do not allow particular exclusions or limitations, so some provisions may not apply.

Indemnity

To the extent permitted by law, a school or organisation using Caribucate agrees to defend, indemnify, and hold harmless Ctrl Shift Digitize Limited and its directors, officers, employees, contractors, and agents from third-party claims, losses, liabilities, and reasonable costs arising from:

• The school's data, records, content, or instructions.
• Unauthorised or improper use by the school's users.
• The school's failure to obtain required authority, permissions, or consent.
• The school's violation of law, school policy, third-party rights, or these Terms.
• School decisions involving permissions, exports, communications, grades, attendance, or operational records.

Suspension and termination

Access may be suspended or terminated where required by law or a signed agreement; where an agreement expires; where there is a material breach; or where access creates a serious security, legal, operational, fraud, or misuse risk.

Any suspension for unpaid fees is governed by the signed school agreement and should follow notice and an opportunity to resolve a good-faith billing dispute where appropriate.

After termination, data may be exported, returned, retained, archived, restricted, or deleted according to the written agreement, school instructions, applicable law, and backup schedules.

Governing law and disputes

Unless a signed agreement states otherwise, these Terms are governed by the laws of the Republic of Trinidad and Tobago.

Before formal proceedings, the parties should attempt in good faith to resolve a dispute through written notice and discussion. Subject to any signed agreement, the courts or agreed dispute-resolution forums in Trinidad and Tobago will have jurisdiction.

Changes to these terms

We may update these Terms for product, legal, security, or operational reasons. If a change is material, we will take reasonable steps to notify affected schools or users by updating the date, posting the revised Terms, or providing platform or email notice.

For a school under a signed agreement, changes take effect according to that agreement. For other website or platform use, continued use after revised Terms take effect means the revised Terms apply.
